Now that comment riles me. How can a link to another relevent site not be a gain? Regardless of how many members it has (or hasnt in my case!  ) that link is another potential string to your bow of promotion, particularly when it comes to being recognised and shifted up the ranks in search engines.
Many forums don't have 100+ members, and definately not 100+ active members, that is the whole point of link exchange, to be seen and hopefully entice people to join you. If you get just 1 active member from a link, is that not a gain?
I'm ranting again (I have a tendancy to do that! ) at the end of the day it is your decision who you link with.

it is he's desicion who he links to, but lets have a think, if we become a bit snobby (no offence) and only like to people who we gain from, whats that going to do for us? we'll have about 1 or 2 exchanges.
if we link to as many people as we can (*cough* me *cough*) our search engine ranks go up and we get member's quicker and quickly overtaking a forum who does it snobblyish (sorry bad at spelling)

What no gain you will get again after all its not only members that look at the forums and i've seen many guests look at the advertisements section hence the reason i made so that people need to join if they wish to see it now but anyway its your choice but i think its your loose as both the forums that you've rejected as link exchange partners will grow over time.
(sits a waits in the hope that the W4L admin changes his mind) HINT HINT.
